I disagree with you on the loot, the way it works makes getting interesting new loot that gives you powers or upgrades your powers a fun experience. It's probably the best game for making you go "cool, purple drop, wonder what it does?" because it's not as simple as "has bigger number than current therefore better" due to the power affixes etc.
Also, most environments do randomise, but they do so on an irregular basis (daily I think).
As for inventory management, I'm not sure what you want from an inventory system, but this is pretty much the standard for PC inventory systems. They all work like this.
And you can have every hero for free, and it's not exactly difficult to get the ones you want, the only things that you can't get for free are minor cosmetic items and stash space.
Your criticisms basically make evident your lack of knowledge.

It's not
the same as, it puts more focus on loot as a part of character building not just the power trees, but it's basically as close as you'd get on a PC anyway given that the control paradigm of basic + hotbar works better with a mouse and keyboard than the XML/MUA controls would.
Also SHIELD are no more secret than any other intelligence agency. I mean the NSA is pretty secretive but they've still got a wikipedia page, people know they exist and what they're about. And having the law in his pocket is pretty much Kingpin's
thing.
