Batman, but I'd be a close fight.
Game changers would be who struck first and how much time each was given to prepare (and since I reckon it'd be a friendly fight, I'd reckon on them getting some time).
And, to follow the trend, Batman has Alfred, who is awesomeness with an English accent.

ironman is just some rich playboy with a fancy suit. and a tool is only as good as the person using it
EDIT: and if it really did have to come down to it, batman would just have a kickass exoskeleton built so that he could combat Ironman; the exoskeleton wouldn't be nearly as fancy as the Ironman suit, but it would still be MORE than enough for batman to repeatedly kick ironman's ass across the pavement. why? because HE'S THE GOD DAMN BATMAN!

Comic wise: Batman.
Movie wise: Close call, but still Batman. Even though the Iron Man movies kicked all kinds of ass and were a lot more fun than Batman. Hm. I'm conflicted here. My loyalty to Batman is clouding my judgement. But I have to go for Batman. Every time.
I would choose Batman because of the villians. Iron Mans token villians are about the same, whereas Batman's has range, from the clever Joker to the science of Mr. Freeze, to the raw power of Bane, the poison of Poison Ivy to the allure of Catwoman... ok catwoman sucks... to the mutant like Croc. Batman has experience, takes on all these challenges, and still maintains a playboy billionaire lifestyle, with none the wiser. I dont think Stark could have done that.
I identify with Iron Man a lot more (mostly the narcissist thing. Also I like building my own toys).
And I'm never really going to forgive Batman for NOT killing off his foes. I mean really. It's kind of hypocritical to say you want to clean up Gotham when the most you do is throw a bunch of mutant terrorist psychopaths into the same prison they've showed every ability to be able to just walk right out of. Either you cut crime off at its source, you force it to play by YOUR rules (ie becoming a crime lord like in Under the Red Hood), or you're just asking for more people to suffer in the end. And that doesn't strike me as particularly heroic.

I like Iron Man more because often he's shown as a flawed character, his drinking, general hedonism and dickishness during things like civil war. On some level I find this more relatable, it feels more realistic. Batman can often be written as too Mary-sue-ish. Don't get me wrong, I love batman stories, but sometimes I find him frustrating.
As for a fight we honestly all know it would go like this:
-Iron-man beats Batman
-Batman designs a device to fight Iron-man
-Batman subsequently wins
-Greater threat arises (Jokers got Mandarin's ten rings, oh shit!)
-They team up to defeat him
-Both depart each gaining a fresh perspective on what it takes to be a hero
