The two board members who have advanced this are nobodies. People with modest track records (at senior / executive level) that struggle to explain their place on the board of one of the world's largest companies. The Tesla board largely compromises associates of Elon Musk, and people like these two who appear minimally or under-qualified, but have received staggeringly generous remuneration for their service - earnings that they surely would not have received in any other employment. They are Musk's catspaws, like most of the board.
There are two other things to consider. Firstly, given the last year or so, Musk has demonstrated that he is potentially a huge liability for Tesla. Secondly, if Tesla is so dependent on Musk, that is a massive risk problem for the company, because it suggests if Musk were to be run over by an AI-driven cybertruck tomorrow, the company is fucked. It's a basic principle of good governance not to have a major, single point of failure. A board would more reasonably be focused on mitigating the risk than rewarding it.
Or maybe Musk is that important, because his stupid antics are the only thing stopping investors viewing Tesla as a mid-size car manufacturer with an AI driver software that it doesn't seem able to deliver.
