I would question him on the nature of the afterlife, get more time to say goodbye and delete all that needs deleting. If no afterlife worth looking forward to, ask to be his helper. If there is, then meh, I'll go without too much of an argument.

I'd chat up the man with a flatterer's fury, invite him inside, give him some cookies, or whatever the hell he'd want at the time besides my soul. After a good hour of buttering him up, I'll ask for some extended time, if that's actually even possible for Death himself to control. If so, then i'll use that time... Wisely.
FIRST
I'll come up with some sort of machine to stop time.
Then comes the Evoker, and find my Persona, or let Death find me early with some Lulz.
Some off-screen hax training later.
I'd come back into real time, and wait for Death while going about my business normally, and when he comes, I'd fight his ass and get some amazing weapons for killing him, not to mention bragging rights. Oh wait, unless it's that pansy ass "Death" from Persona 3, then I'd just kill him and go on derping.

If it's death from the Marvel universe then I'd probably flirt with her, since they're female and apparently really hot. If not then I'd ask for a few minutes to put my affairs in order, just as long as I don't actually tell anyone whats happening.
